1.Introduction and acceptance
These Terms & Conditions (the Terms) are an agreement between you and [registered entity name], a company registered in India with its registered office at [registered address](“TopDraft”, “we”, “us”). They govern your use of topdraft.co.in, our dashboards, and all related services (together, the Platform).
By registering, applying to join, or otherwise accessing or using the Platform, you accept these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not use the Platform.
If you use the Platform on behalf of a company or other organisation — for example as a founder or hiring representative of a startup — you confirm you are authorised to bind that organisation, and “you” includes that organisation.
2.Definitions
- Job Seeker— an individual who applies to join or is accepted onto the Platform in order to be discovered by, apply to, and interview with startups.
- Startup (or Founder) — a company, typically pre-seed to Series A, and its authorised representatives, that applies to join or is accepted onto the Platform in order to post roles and discover, contact and hire Job Seekers.
- User— any Job Seeker, Startup, or other person accessing the Platform.
- Content— all information and material submitted to the Platform, including profiles, CVs, photographs, video pitches, company information, job listings, messages and application answers.
- Video Pitch— the short video that Job Seekers and Startups upload to present themselves on the Platform.
- Interest— the on-platform mechanism by which a Startup expresses interest in a Job Seeker, or a Job Seeker applies to a role, which may lead to an interview when interest is mutual.
- Placement— a hire between a Startup and a Job Seeker facilitated through the Platform and recorded on it.
3.Eligibility
- You must be at least 18 years of age and legally capable of entering into a binding contract under Indian law.
- Job Seekers must hold, and accurately describe, the right to work they state on their profile. Startups must be lawfully incorporated or registered and represented by an authorised person.
- We may refuse, restrict, or withdraw access to the Platform at our discretion, including where eligibility cannot be verified.
4.Accounts and security
- You can create an account using Google sign-in or an email address and password. You are responsible for keeping your credentials confidential and for all activity under your account.
- Keep one account only, keep your information accurate and current, and tell us promptly at info@topdraft.co.in if you suspect unauthorised use of your account.
- We may require identity, company, or other verification at any time as a condition of continued access.
5.The TopDraft service — a curated platform
TopDraft is a curated hiring platform. Both Job Seekers and Startups go through a short application, and we personally interview applicants before deciding whether to admit them. Admission is at our sole discretion; we are not obliged to admit any applicant or to give reasons for a decision, and we may limit, pause, or withdraw admission at any time.
TopDraft is a neutral venue. We are not an employment agency, recruitment agent, labour contractor, or employer of Job Seekers, and we are not a party to any interview, offer, employment contract, or engagement between a Startup and a Job Seeker.
We do not guarantee that any Job Seeker will receive interviews, offers or employment, or that any Startup will find, interview, or hire suitable candidates.
Where interest is mutual, the Platform may facilitate interview scheduling, including sharing meeting links. Interviews may take place over third-party video tools that are subject to their own terms.
6.Job Seeker obligations
- Provide truthful, accurate and current information in your application, profile, CV and Video Pitch, and keep it updated — including your availability.
- Upload only material you have the right to use, and appear personally in your own Video Pitch. Impersonation is prohibited.
- Attend interviews you accept, or cancel with reasonable notice, and behave professionally in all interactions with Startups.
- Do not misrepresent your education, experience, skills, right to work, or notice period.
7.Startup obligations
- Provide accurate company information — including stage, funding, team size and culture — and post only genuine, currently open roles with accurate descriptions and compensation ranges.
- Use Job Seeker information, including profiles, CVs, contact details and Video Pitches, solely to evaluate and hire for your own roles on the Platform, and for no other purpose.
- Do not scrape, export, share, sell, or retain candidate data beyond what is necessary for your hiring process. Treat all candidate data as confidential.
- Comply with all applicable laws in your hiring, including anti-discrimination and labour laws, and conduct interviews respectfully and lawfully.
- Honour interviews you schedule, respond to candidates in reasonable time, and record hires accurately on the Platform.
8.Your Content and licence to us
You retain ownership of your Content. You grant TopDraft a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt (for formatting), publish and display your Content on and through the Platform, for the purposes of operating, providing, securing and improving the service — including showing your profile, photograph, CV and Video Pitch to the relevant other side of the marketplace in line with the visibility rules described in our Privacy Policy.
You confirm you have all rights needed to submit your Content and that it does not infringe any third party’s rights or any law. We may remove or restrict Content we reasonably believe breaches these Terms or any law, without notice.
9.Acceptable use
You must not, and must not attempt to:
- use the Platform for any unlawful, fraudulent or misleading purpose, or post false, deceptive, discriminatory, defamatory, obscene or harassing Content;
- infringe the intellectual-property, privacy, or other rights of any person;
- scrape, crawl, harvest, or bulk-export data from the Platform, or access it by automated means;
- reverse engineer, probe, or circumvent any security or access control of the Platform;
- upload malware or interfere with the Platform’s operation;
- create fake or duplicate accounts, or misrepresent your identity or affiliation;
- use candidate or company data obtained from the Platform for any purpose other than hiring (for Startups) or job seeking (for Job Seekers); or
- solicit Users to circumvent the Platform in order to avoid its rules or, if introduced in future, its fees.
10.Curation, verification and moderation
- We may verify, approve, decline, pause, or remove any account, profile, job listing, or other Content at our discretion in order to maintain the quality and safety of the Platform.
- Our screening and interviews are conducted in good faith, but we do not warrant, and cannot guarantee, the accuracy of any User’s statements, qualifications, or claims. Each User remains solely responsible for their own due diligence before entering any interview, offer, or employment relationship.
- We have no general obligation to monitor Content, but may do so to enforce these Terms.
11.Interests, interviews and placements
The Platform facilitates introductions. All decisions about whom to interview, whom to hire, and on what terms, are made solely by the Startup and the Job Seeker concerned.
Any employment agreement, engagement, compensation, or dispute is strictly between the Startup and the Job Seeker. TopDraft is not responsible for the conduct of any User (on or off the Platform), the terms or withdrawal of any offer, the performance of any employment relationship, or any loss arising from the foregoing.
Users agree to keep placement information accurate on the Platform so that candidate availability reflects reality.
12.Fees
The Platform is currently provided free of charge to both Job Seekers and Startups.
We may introduce paid plans, subscriptions, or premium features in future. If we do, we will give reasonable prior notice, publish the applicable pricing and payment terms, and no charge will apply to you unless you expressly opt in to a paid plan.
13.Intellectual property
The Platform — including its software, design, text, graphics, logos, and the TopDraft name and marks — is owned by or licensed to TopDraft and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose.
Except for your own Content, you may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.
14.Third-party services
The Platform is built on and works with third-party services — including Google Firebase and Google Cloud (authentication, database, file storage and hosting), transactional email delivery providers, and third-party video-meeting tools used for interviews. Your use of those services is subject to their own terms and privacy policies, and we are not responsible for them.
15.Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Platform you consent to that collection and use.
16.Disclaimers
The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, or accuracy.
Without limiting the above, we do not warrant the accuracy, completeness or reliability of any Content submitted by Users, the outcome of any application, interview or hire, or that the Platform will be uninterrupted, secure, or error-free.
17.Limitation of liability
To the maximum extent permitted by applicable law, TopDraft and its directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill or data, arising out of or in connection with the Platform or these Terms.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the Platform or these Terms shall not exceed the greater of (a) INR 10,000, and (b) the amounts (if any) paid by you to TopDraft in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.
18.Indemnity
You agree to indemnify and hold harmless TopDraft and its directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to: (a) your Content; (b) your breach of these Terms or any law; (c) your misuse of the Platform or of data obtained through it; or (d) any dispute between you and another User, including any employment-related dispute.
19.Suspension and termination
- We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have breached these Terms, pose a risk to other Users or to the Platform, or where required by law.
- You may stop using the Platform and request deletion of your account at any time. See the Privacy Policy for how deletion is handled.
- Sections that by their nature should survive termination — including those on Content licence, intellectual property, disclaimers, liability and indemnity — survive.
20.Changes to the Platform and these Terms
We may modify the Platform, and may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
21.Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any mandatory law to the contrary, the courts at [city], India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.
22.General
These Terms, together with the Privacy Policy, are the entire agreement between you and TopDraft regarding the Platform. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delay or failure caused by events beyond our reasonable control.
